About the Opportunity
Lex Tecnica welcomes experienced, entrepreneurial attorneys interested in bringing their existing book of business to a collaborative national law firm platform while continuing to build and expand their fractional and outside general counsel practices.
Our ideal candidate has established client relationships, a business-minded approach to legal services, and a desire to grow their practice without the administrative and operational burdens of building a law firm independently.
While an existing book of business is strongly preferred, we also welcome conversations with accomplished attorneys who demonstrate an entrepreneurial mindset, substantial general counsel experience, and a compelling vision for developing their own practice.
We are seeking business-minded attorneys who understand that exceptional legal counsel involves more than interpreting the law. It requires understanding how businesses operate, anticipating challenges, evaluating risk, and helping leadership teams make informed decisions.
Our general counsel attorneys serve as trusted advisors to business owners, founders, executives, and leadership teams. They develop a deep understanding of their clients’ operations, objectives, and long-term strategies, providing practical legal guidance as an integrated part of the business.
Unlike traditional outside counsel relationships, our model encourages attorneys to become familiar with the company’s customers, contracts, governance, operations, and growth objectives, allowing them to provide proactive legal guidance rather than simply responding to problems.

Through Lex Tecnica’s collaborative platform, attorneys can leverage expertise across transactional law, intellectual property, litigation, real estate, employment, regulatory compliance, wealth management, and other legal disciplines to deliver comprehensive legal solutions.
This opportunity is particularly well suited for experienced in-house counsel, corporate attorneys, business attorneys, and entrepreneurial lawyers who enjoy working directly with business leaders and want to build meaningful, long-term client relationships.
Key Responsibilities
Fractional General Counsel & Strategic Advisory
- Serve as a trusted fractional or outside general counsel to startups, entrepreneurs, growing companies, and established businesses.
- Develop a thorough understanding of clients’ business models, operations, leadership structures, growth strategies, and risk profiles.
- Provide proactive legal guidance to founders, executives, management teams, and business owners.
- Advise on corporate governance, business formation, organizational structure, and ongoing legal compliance.
- Identify and evaluate legal and operational risks while developing practical strategies aligned with business objectives.
- Support business expansion, restructuring, strategic partnerships, and organizational growth.
- Participate in leadership discussions and provide legal insight into significant business decisions.
- Help clients develop legal processes, policies, and infrastructure that evolve with their businesses.
Corporate, Transactional & Commercial Matters
- Draft, review, negotiate, and advise on commercial contracts, vendor agreements, service agreements, licensing agreements, and other business transactions.
- Advise on business formation, entity structuring, shareholder and operating agreements, corporate governance, and ownership matters.
- Support mergers, acquisitions, financing transactions, business sales, and strategic investments, as appropriate to experience.
- Assist clients with employment agreements, independent contractor arrangements, executive compensation, and related business matters.
- Advise on regulatory compliance, licensing requirements, and operational risk management.
- Coordinate with Lex Tecnica attorneys in specialized practice areas, including intellectual property, real estate, litigation, employment, and wealth management.
- Assist clients in developing scalable legal systems, documentation, and processes that support long-term business growth.
Client Relationships & Practice Development
- Develop and maintain trusted, long-term relationships with business owners, founders, executives, and leadership teams.
- Serve as the primary legal point of contact for general counsel clients, coordinating specialized legal services when needed.
- Translate complex legal issues into clear, actionable business recommendations.
- Anticipate client needs and identify opportunities to address legal concerns before they become significant business challenges.
- Independently manage client matters, priorities, deadlines, and professional responsibilities.
- Collaborate with attorneys across Lex Tecnica’s national platform to provide comprehensive client representation.
- Participate in professional networking, business development, and opportunities to expand a sustainable general counsel practice.
- Maintain exceptional standards of professionalism, responsiveness, accountability, and client service.
Required Qualifications
- Juris Doctor (J.D.) from an accredited law school.
- Active license to practice law in at least one U.S. jurisdiction, in good standing.
- Substantial experience advising businesses on corporate, commercial, transactional, or operational legal matters.
- Strong legal drafting, contract negotiation, research, and analytical skills.
- Demonstrated ability to provide practical, business-oriented legal advice.
- Excellent communication skills and the ability to work effectively with founders, executives, and business leadership teams.
- Ability to independently manage client relationships, legal matters, and competing priorities.
- Entrepreneurial mindset and an interest in developing or expanding a general counsel practice.
- Commitment to professional responsibility, collaboration, and exceptional client service.
Preferred Qualifications
- Five or more years of legal practice experience, particularly in business, corporate, or commercial law.
- Previous experience serving as in-house counsel, general counsel, fractional general counsel, or outside corporate counsel.
- Experience advising startups, emerging growth companies, entrepreneurs, or small to mid-sized businesses.
- Familiarity with corporate governance, commercial transactions, employment matters, regulatory compliance, and risk management.
- Experience supporting businesses through significant growth, investment, acquisition, restructuring, or expansion.
- Experience working directly with founders, executive leadership, boards of directors, or investors.
- An established book of business and existing client relationships, with an interest in expanding those relationships through Lex Tecnica’s collaborative platform. Strongly preferred, but not required.
- Demonstrated business development capabilities, professional networks, or a clear strategy for building and sustaining a general counsel practice.
- Admission to practice in multiple jurisdictions.
- Experience collaborating across multiple legal practice areas.

Under Lex Tecnica’s Net 70 independent contractor model, participating attorneys retain 70% of applicable net revenue generated from their legal work, subject to the terms of the firm’s independent contractor agreement.
